(“Token Harbor”, “we”, “us”, or “our”). These Terms govern your access to and use of our website, API endpoints, software development kits (SDKs), chat interfaces, and underlying routing infrastructure (collectively, the “Service”).
By registering an account, generating an API key, or integrating our Service into your applications, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a corporate entity, you represent and warrant that you possess the legal authority to bind that entity.
1. Provision of Service & Upstream Obligations
1.1 The Routing Infrastructure
Token Harbor operates as an intermediary infrastructure layer, providing a unified application programming interface (API) that routes user prompts and payloads to various third-party foundational models and hosting environments (“Upstream Providers”).
1.2 Upstream Compliance Pass-Through
By utilizing Token Harbor to access any underlying artificial intelligence model, you explicitly agree to review and strictly comply with all applicable terms of service, acceptable use policies, and end-user license agreements enforced by the respective foundational model developers and third-party host environments providing those models. Any act or omission by you that violates an Upstream Provider’s policy shall be deemed a material breach of these Terms, subjecting your account to immediate termination.
1.3 Service Level and Availability
Token Harbor makes no representation or warranty regarding the continuous availability of any specific model, endpoint, or Upstream Provider. We reserve the absolute right to throttle, deprecate, modify, or remove access to specific models at any time, with or without notice, due to upstream network conditions, compliance requirements, or technical unviability.
2. Account Security & API Key Management
2.1 Account Integrity
You are required to provide accurate and legally identifiable information during registration. Accounts are strictly non-transferable. You assume full operational and legal responsibility for any downstream end-users interacting with the Service via your applications.
2.2 Bearer Token Liability
API keys generated through Token Harbor function as bearer tokens. You bear sole and absolute responsibility for maintaining the cryptographic security of your API keys. You are financially liable for all inference charges, overages, and platform usage executed via your API keys, regardless of whether such usage was authorized by you, up to the exact moment you programmatically revoke the compromised key or formally notify us of a breach.
3. Acceptable Use Policy (AUP)
You agree to utilize the Service strictly for lawful purposes. You shall not, nor shall you permit or facilitate any third party to:
- Harmful Deployments: Generate, route, or distribute content that facilitates illegal acts, depicts child sexual abuse material (CSAM), promotes non-consensual intimate imagery, incites targeted violence, or violates the intellectual property rights of any third party.
- Infrastructure Abuse: Deploy malicious code, execute denial-of-service (DoS) attacks, attempt to bypass rate-limiting protocols, or engage in prompt injection techniques designed to compromise the security, stability, or architectural guardrails of the Token Harbor gateway.
- Competitive Benchmarking & Extraction: Programmatically scrape, reverse-engineer, or systematically extract data from the Service to train, fine-tune, or benchmark competing machine learning models or infrastructure routing platforms.
- Proxy Reselling: Utilize the Service to construct a direct, white-labeled proxy alternative to Token Harbor without adding substantive unique value or without prior written enterprise authorization.
4. Financial Terms & Billing Mechanics
4.1 Usage-Based Billing
The Service operates on a deterministic, usage-based billing model (e.g., per-token, per-request, or per-image) as defined on our active pricing schedule. You acknowledge that tokenization logic varies between Upstream Providers, and billing will reflect the exact token counts returned by the respective upstream infrastructure.
4.2 Prepaid Balances
Access to the Service requires maintaining a positive prepaid balance in US Dollars (USD). Depletion of your prepaid balance will result in automatic, immediate suspension of API access.
4.3 Taxes and Levies
All fees displayed are exclusive of any applicable federal, state, local, or international taxes, levies, or duties (including VAT or GST). You are solely responsible for the payment of all such taxes associated with your use of the Service, excluding taxes based solely on Token Harbor's net income.
4.4 Promotional Credits
Promotional credits, referral bonuses, and system-granted allowances possess no inherent cash value, are non-transferable, and may be revoked or expired at our sole discretion.
Certain promotional credits — including the first top-up match — are granted in a locked state and become spendable incrementally as you consume your own paid balance, on a one-to-one basis. Any portion that remains locked is not spendable, withdrawable, or refundable, and is reclaimed first in the event of a refund or chargeback of the associated top-up.
5. Refund Policy & Dispute Resolution
5.1 Sole and Exclusive Remedy
We offer a thirty (30) calendar day evaluation window. You may request a refund for fiat currency top-ups executed within the preceding 30 days. Refunds apply strictly to the unused, unspent fiat balance. Digital credits consumed by API inference are strictly non-refundable.
5.2 Chargeback Protocols
Initiating a payment dispute or chargeback via your financial institution without exhausting Token Harbor’s internal support channels constitutes a violation of these Terms. Such actions will result in the immediate and permanent termination of your account and the forfeiture of any remaining digital balances.
6. Global Regulatory Compliance & Regional Availability
6.1 Trade Controls
Token Harbor complies strictly with global economic sanctions and trade regulations. You represent and warrant that you, your corporate affiliates, and your end-users are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive sovereign sanctions or embargoes by the United Nations or other major international regulatory bodies.
6.2 Local Infrastructure Restrictions
Due to evolving regulatory frameworks, localized data compliance mandates, and specific network infrastructure constraints, the Service is restricted and not intended for use in certain jurisdictions. Accounts identified as systematically accessing the platform from regions where domestic regulations prohibit the proxying of multi-provider external AI inference interfaces may have their access restricted to ensure platform-wide regulatory alignment.
7. Intellectual Property & Data Processing Tiers
7.1 Input & Output Ownership
As between the parties, and subject strictly to the terms of the Upstream Providers, you retain all rights, title, and interest in and to the inputs (prompts) you submit and the outputs (completions) generated. You grant Token Harbor a limited, transient license to process, route, and transmit this data solely to execute your API requests in accordance with the data governance tiers outlined below.
7.2 Data Governance Tiers: Paid vs. Free Models
The degree of data retention applied to your payloads is determined by the billing status of the selected model endpoint:
- Paid Tier (Premium Models): For API inference executed against models financed via your prepaid balance, Token Harbor enforces a strict zero-retention policy. Payloads are processed transiently for request fulfillment and performance caching; data is never persistently stored, monitored, or utilized for training purposes.
- Free Tier (No-Cost Models): By utilizing endpoints designated as “Free,” you acknowledge and agree that Token Harbor may retain, log, and analyze payloads. This data is utilized strictly for system diagnostics, optimization, and the refinement of machine learning models.
7.3 User Autonomy & Opt-In Choice
Data sharing remains within your absolute control. Selecting a Free model constitutes an explicit opt-in for that specific session. You may opt-out of retention at any time by routing API calls exclusively to paid tier endpoints. Web chat histories across all tiers are maintained solely for your convenience and may be permanently deleted at your discretion.
7.4 Transient Caching & Logging
To optimize latency and reduce upstream computational redundancy, Token Harbor reserves the right to employ transient caching mechanisms for standardized API requests. Token Harbor does not persistently store the underlying text of your prompts or completions for its own continuous use, except where explicitly required for systemic troubleshooting, abuse prevention, or when you explicitly opt-in to logging features.
8. Disclaimers & Limitation of Liability
8.1 “As Is” Disclaimer
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOKEN HARBOR PTE. LTD. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR STRICTLY SECURE.
8.2 Output Reliability Disclaimer
OUTPUTS ARE GENERATED BY PROBABILISTIC MACHINE LEARNING MODELS OVER WHICH TOKEN HARBOR EXERCISES NO CONTROL. WE DISCLAIM ALL LIABILITY FOR THE ACCURACY, RELIABILITY, OR FACTUAL CORRECTNESS OF ANY GENERATED CONTENT. YOU BEAR FULL RESPONSIBILITY FOR EVALUATING OUTPUTS BEFORE RELYING UPON THEM IN COMMERCIAL, LEGAL, MEDICAL, OR HIGH-STAKES ENVIRONMENTS.
8.3 Indemnification
You agree to indemnify, defend, and hold harmless Token Harbor, its directors, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) any claim that your applications or end-users infringed upon the rights of a third party.
8.4 Limitation of Liability
IN NO EVENT SHALL TOKEN HARBOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA LOSS. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).
9. Term, Termination & Survival
9.1 Termination Rights
You may terminate these Terms at any time by ceasing all use of the Service and requesting account deletion. We may suspend or terminate your access instantly and without notice if we reasonably believe you have violated these Terms, pose a security threat, or generate legal exposure for the platform.
9.2 Survival
Upon termination of these Terms, any provisions that by their nature should survive termination shall remain in full force and effect. This includes, without limitation, accrued payment obligations, intellectual property rights, warranty disclaimers, indemnities, and limitations of liability.
10. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Singapore, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
